Luna Lo Giudice joined Cleveland & Co in 2024 as Legal Counsel, contributing to our EMEA team across private equity investments and investment management.
Luna Lo Giudice has over 5 years’ experience in the investment management industry. She is a Luxembourg qualified lawyer currently preparing to sit the Solicitor’s Qualifying Examination to become a UK qualified solicitor. Luna has gained a significant cross-border experience while working as an associate at a reputable British law firm in London and a top tier Luxembourg law firm. In addition to her background as an external legal counsel, Luna has also worked as an in-house legal counsel of a US private equity firm investing in sale and lease back transactions, equipping her with an invaluable commercial perspective and knowledge on the communication strategies vis-à-vis the investors and the broader market. Her expertise covers all areas of investment management with a focus on alternative investment funds structuring and formation, with focus on both English and offshore jurisdictions. Luna is currently advising on a number of legal due diligence reviews for our asset owner clients, including a large pension scheme. She has particular depth and breadth in reviewing Luxembourg funds which we increasingly see as a key jurisdiction of choice for PE funds.

- Fund set-up for a HNW family office: formation of a limited partnership governed by the laws of Isle of Man in order to facilitate an investment into a yacht. Advising on the legal aspects of the purchase of the entirety of the shares of an asset holding SPV, which led to the ownership of the asset, the vessel.
- Structuring carried interest arrangements between the carried interest members of a English limited liability partnership.
- Set-up of a Luxembourg limited partnership (parallel to the main fund in Singapore), negotiation of all the service providers agreements, assistance with first and subsequent closings for a big French asset manager.
- Acquisition Assistance: in relation to the acquisition of a real estate asset located in Poland made by a Luxembourg SPV by means of both external and internal financing.
