Antonia Manti

Antonia Manti joined Cleveland & Co in 2022 as an Associate after registering as a Foreign Lawyer with the SRA and will be qualifying in England & Wales by the end of 2023. Antonia supports our EMEA team with M&A transactions,  private equity investments, private market transactions, marketing compliance reviews, and corporate and commercial matters, and also our Asia-Pac team with regulatory queries, and reviewing and updating of fund constitutions and offer documents. Additionally, Antonia contributes to the firms’ newsletters, articles and webinars.

Prior to joining the firm, Antonia was a private equity paralegal at a top tier international law firm in London where she gained exposure on the completion of multi-billion-pound transactions by acting on behalf of Private Equity Funds and completing M&A transactions. Additionally, in 2019, she was admitted as a Lawyer with the Cyprus Bar Association after completing her training contract in a Legal 500 Law firm based in Cyprus where she gained experience in Corporate Law, M&A, Banking, Corporate and Civil Litigation and Dispute Resolution.

Experience

Antonia has gained her experience working at the following institutions:

  • Cleveland &Co: Assisting our clients with the legal review and negotiation of private market investment documents, negotiation LPA terms, conducting side letter negotiations, subscription agreements and MFN processes of their investments in global private market funds. I am also involved in reviewing marketing materials, responding to general regulatory and corporate queries, drafting and legal review of commercial contracts and service agreements. I further assist with the legal due diligence process and SPA negotiations under M&A transactions.
  • Christos Patsalides L.L.C (Cyprus): During my corporate seat, I provided legal and administrative support to the corporate team. I prepared, drafted, reviewed, and amended commercial contracts, tax planning, shareholders’ resolutions, board minutes, ancillary documents, and articles of association for various corporate clients, drafted and filed Companies’ House forms such as confirmation statements, charge registrations or releases, and ancillaries related with share sales/issues/cancellations. I also assisted in preparing memos, legal opinions, and letters of advice for possible acquisitions and restructurings.During my litigation seat, I was appearing before the Court daily. I acted on behalf of clients for applications regarding changes in the memorandum of association, capital reductions applications, demergers, and reorganisations. I acted on behalf of clients for summary judgement applications. I also acted on behalf of Bank of Cyprus for several cases including guarantees and unpaid loans. I further conducted legal research and prepared memorandums of advice on various areas of law, such as company law, banking, tort, family, and wills. I was also responsible for the drafting of legal documents for trial bundles, including particulars of claim, defences, and witnesses’ statements.
  • Stephenson Harwood LLP: I acted on behalf of Private Equity funds, and acted in the restructuring of Private Equity stacks. I further acted on a multi-billion sale of a Target groups, and other M&A transactions. I was involved in the due diligence completion, draft of the due diligence report, Questionnaire report, and ancillaries. I further assisted the Banking, Commercial, Litigation, Intellectual Property and Real Estate teams in conducting the due diligence and vendor due diligence. I have gained experience in drafting and reviewing the Ancillaries, populated the Ancillaries before completion, set up the DocuSign, handled completion, responded to clients’ enquiries during completion, and assisted with post completion matters. I was also involved in drafting board minutes, written resolutions, share certificates, indemnities, STFs, loan notes, SH01, SH08 and Articles of Association.

She is a Law graduate from Newcastle University and has completed the Legal Practice Course (LPC) and a Master of Science in Law, Business and Management at the University of Law with a distinction. Additionally, she obtained an LLM in Corporate Law from Durham University with a distinction. She has experience on Corporate Law Private Equity, M&A, Banking, Corporate Litigation and Dispute Resolution.
